Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GalaDesk platform operated by GalaDesk Inc. ("GalaDesk," "we," "us," or "our") at galadesk.com. By creating an account or using the service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use GalaDesk. If you are using the service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at daniel@galadesk.com if you suspect unauthorized access.
3. Subscription Plans & Billing
3.1 Plans
GalaDesk offers the following subscription tiers: Solo (free), Starter, Business, and Enterprise. Features and seat limits vary by plan. Current pricing and plan details are available on our pricing page.
3.2 Free Trial
Paid plans include a 30-day free trial. During the trial, you have full access to the plan's features. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel or downgrade before the trial ends.
3.3 Billing
Subscriptions are billed in advance on a monthly or annual basis via Stripe. Seat-based pricing means you are charged based on the number of active team members in your organization. By subscribing, you authorize us to charge your payment method on file.
3.4 Price Changes
We may adjust pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle after the notice period.
4. Acceptable Use
You agree not to:
- Use GalaDesk for any unlawful purpose or in violation of applicable laws
- Interfere with or disrupt the platform's infrastructure or other users' access
- Attempt to gain unauthorized access to systems or data not intended for you
- Upload malicious software, viruses, or harmful code
- Scrape, crawl, or harvest data from the platform without written permission
- Resell or redistribute access to the service without authorization
- Impersonate another person or entity
- Use the platform to send spam or unsolicited communications
We reserve the right to suspend or terminate accounts that violate these rules.
5. Your Data & Content
5.1 Ownership
You retain full ownership of all data and content you upload to GalaDesk, including event details, client information, files, and team communications. We do not claim any intellectual property rights over your content.
5.2 License to Us
By uploading content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you. This license terminates when you delete the content or close your account.
5.3 Data Portability
You may export your data at any time. Upon account deletion, we will provide your data in a machine-readable format upon request, subject to our Privacy Policy.
6. Intellectual Property
The GalaDesk platform, including its design, code, logos, trademarks, and documentation, is the property of GalaDesk Inc. and is protected by intellectual property laws. These Terms do not grant you any rights to use our branding or proprietary materials except as needed to use the service.
7. Third-Party Services
GalaDesk integrates with third-party services including Stripe (payments), Google Maps (venue mapping), and others. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability or conduct of third-party services.
8. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications to the platform. We will provide reasonable advance notice of planned downtime when possible. We reserve the right to modify, suspend, or discontinue features with 30 days' notice.
9. Limitation of Liability
To the maximum extent permitted by law, GalaDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the service.
Our total aggregate liability for any claims arising from or related to the service shall not exceed the amount you paid to GalaDesk in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
GalaDesk is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or meet your specific requirements.
11. Indemnification
You agree to indemnify and hold harmless GalaDesk Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
12. Termination
You may cancel your subscription and close your account at any time from your account settings. We may terminate or suspend your account if you violate these Terms, with or without notice depending on the severity of the violation.
Upon termination, your right to access the service ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
13. Governing Law & Disputes
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of GalaDesk shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration, except where prohibited by local law.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Your continued use of GalaDesk after the effective date constitutes acceptance of the updated Terms.
