Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of GalaDesk, event team management software for event pros and their teams, available at galadesk.com. In these Terms, "GalaDesk," "we," "us," or "our" refers to GalaDesk, a product operated by Printmods, a sole proprietorship based in the Commonwealth of Pennsylvania, United States. By creating an account or using the service, you agree to be bound by these Terms.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use GalaDesk. If you are using the service on behalf of a business or organization (the "Customer"), you represent that you have authority to bind that entity to these Terms.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at daniel@galadesk.com if you suspect unauthorized access.
4. Subscription Plans & Billing
4.1 Plans
GalaDesk offers the following subscription tiers, available on monthly or annual billing:
- Solo — $29/month or $290/year (approximately 2 months free), no seat minimum.
- Starter — $59/month or $590/year. Includes 5 admin seats; additional admins billed at $12/admin/month. Contractors (employee-role users) are unlimited and free.
- Team — $129/month or $1,290/year. Includes 10 admin seats; additional admins billed at $10/admin/month. Contractors are unlimited and free.
- Business — $299/month or $2,990/year. Includes 25 admin seats; additional admins billed at $8/admin/month. Contractors are unlimited and free.
- Enterprise — custom pricing, negotiated with our sales team.

4.2 Free Trial
Self-serve tiers (Solo, Starter, and Business) include a 30-day free trial. No credit card is required to start the trial. Enterprise trials are arranged separately with our sales team. At the end of the trial, your account will not be automatically converted to a paid subscription. To continue using GalaDesk after the trial ends, you must add a valid payment method; no charges will be made unless and until you do so.
4.3 Billing & Admin Seats
Paid subscriptions are billed in advance via Stripe. Each plan has a flat monthly base price that includes a set number of admin seats. Admin seats are users with the admin or manager role in your organization. Additional admins above the included count are billed at the per-admin overage rate listed in your plan.
Contractor accounts are free to invite. Users assigned the employee role (contractors, field staff, crew) do not count toward seat billing. Each plan includes a recommended active-crew capacity — Starter ~75 active crew, Team ~250, Business ~750. Active crew are contractors used in staffing workflows during the current billing period (assigned to events, sent shift invites, or included in published staffing pools). Archived or inactive contractors do not count.
The active-crew capacity is a soft recommendation; we do not break event execution if you exceed it. Organizations that consistently exceed their plan's active-crew capacity may be asked to upgrade to a tier that better fits their staffing volume.
The flat base price is charged each billing period regardless of the number of admin seats in use, as long as the plan remains active. Admin overage charges accrue per extra admin seat above the included count and are billed on the same cadence as your base price (monthly or annual).
4.3.1 Monthly vs. Annual Billing
Subscriptions may be billed monthly or annually at the customer's election:
- Monthly plans are charged on the same day each month for the upcoming month of service and continue until cancelled.
- Annual plans are charged upfront for a 12-month term. Annual pricing represents an approximate 16.67% discount versus the equivalent monthly rate (“2 months free”). For example, Starter monthly is $59 and Starter annual is $590 (= $59 × 10 months).
- Annual subscriptions do not auto-renew to monthly on expiration. Before the annual term ends, you will be prompted to renew your annual plan or switch to monthly billing. If no action is taken, paid access ends at the term expiration as described in Section 4.4.
- Admin seat allowances and overage rates apply equally to both billing cadences. For example, Starter monthly is $59/month with 5 included admins, and Starter annual is $590/year with the same 5 included admins.
- You may switch between monthly and annual billing from Organization → Billing. Switches between cadences mid-term are handled per our Refund Policy.
4.4 Cancellation
You may cancel your subscription at any time from Organization → Billing inside your account. Upon cancellation, your access to paid features continues through the end of the then-current paid billing period (the remainder of the current month for monthly plans, or the remainder of the current 12-month term for annual plans), after which the account is downgraded or closed. We do not pro-rate partial months. Refund eligibility for cancelled annual plans is described in our Refund Policy.
4.5 Refunds
Refund eligibility is described in our Refund Policy, which is incorporated into these Terms by reference.
4.6 Price Changes
We may adjust pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle after the notice period.
5. Acceptable Use
5.1 Prohibited Conduct
You agree not to:
- Use GalaDesk for any unlawful purpose or in violation of applicable laws
- Interfere with or disrupt the platform's infrastructure or other users' access
- Attempt to gain unauthorized access to systems or data not intended for you
- Upload malicious software, viruses, or harmful code
- Scrape, crawl, or harvest data from the platform without written permission
- Resell or redistribute access to the service without authorization
- Impersonate another person or entity
- Use the platform to send spam or unsolicited communications
We reserve the right to suspend or terminate accounts that violate these rules.
5.2 Worker Classification & Employment Law Disclaimer
Customers using GalaDesk to manage relationships with independent contractors (including 1099 workers) acknowledge that GalaDesk is a software tool only. GalaDesk is not a party to any employment, contractor, or worker relationship between the Customer and the individuals the Customer adds to the platform. The Customer is solely responsible for proper worker classification, wage and hour compliance, tax withholding, payroll, insurance, workers' compensation, and all other employment-law obligations under applicable federal, state, and local law. Features such as pay calculations, travel pay, and shift assignment are provided for administrative convenience and do not constitute legal, tax, or payroll advice.
6. Your Data & Content
6.1 Ownership
You retain full ownership of all data and content you upload to GalaDesk, including event details, job and shift data, scheduling and assignment records, venue records, travel-pay calculations, client information, team member profiles, files, and team communications. We do not claim any intellectual property rights over your content.
6.2 License to Us
By uploading content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you. This license terminates when you delete the content or close your account.
6.3 Data Portability
You may export your data at any time. Upon a verified request (including after account deletion), we will provide a copy of your organization's data in a machine-readable format — typically JSON for structured records and CSV for tabular data such as jobs, shifts, and team rosters — within 30 days of the verified request, subject to our Privacy Policy.
7. Intellectual Property
The GalaDesk platform, including its design, code, logos, trademarks, and documentation, is the property of Printmods (operating as GalaDesk) and is protected by intellectual property laws. These Terms do not grant you any rights to use our branding or proprietary materials except as needed to use the service.
8. Third-Party Services & Subprocessors
GalaDesk relies on a small number of third-party services ("subprocessors") to deliver the platform. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability or conduct of third-party services. Current subprocessors include:
- Supabase — primary database, authentication, and file storage (hosted in the United States).
- Vercel — application hosting and deployment infrastructure.
- Stripe — payment processing for subscriptions and invoicing.
- Google (Maps Platform) — driving-distance calculations used for travel-pay features.
We may update this list as our infrastructure evolves. Material additions that meaningfully change where your data is processed will be communicated through the notice channels described in Section 15.
9. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications to the platform. We will provide reasonable advance notice of planned downtime when possible. We reserve the right to modify, suspend, or discontinue features with 30 days' notice.
10. Limitation of Liability
To the maximum extent permitted by law, GalaDesk (and Printmods) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the service.
Our total aggregate liability for any claims arising from or related to the service shall not exceed the amount you paid to GalaDesk in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
GalaDesk is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or meet your specific requirements.
12. Indemnification
You agree to indemnify and hold harmless Printmods (operating as GalaDesk), its owner, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
13. Termination
You may cancel your subscription and close your account at any time from your account settings. We may terminate or suspend your account if you violate these Terms, with or without notice depending on the severity of the violation.
Upon termination, your right to access the service ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, governing law, and the general provisions in Section 16 survive termination.
14. Governing Law & Venue
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles. Any action arising under or related to these Terms shall be brought exclusively in the state or federal courts located in Pennsylvania, and the parties consent to personal jurisdiction and venue in such courts.
The parties agree to attempt in good faith to resolve any dispute informally before filing suit by contacting daniel@galadesk.com with a written description of the dispute.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before the changes take effect. Your continued use of GalaDesk after the effective date constitutes acceptance of the updated Terms.
16. General Provisions
16.1 Force Majeure
Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, utility outages, or outages or failures of upstream third-party platforms, hosting providers, or infrastructure vendors.
16.2 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and GalaDesk regarding the service and supersede any prior agreements or understandings.
16.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified only to the extent necessary to make it enforceable while preserving the parties' original intent.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, reorganization, sale of substantially all assets, or change of operating entity (including a conversion of Printmods into a different legal form).
16.5 No Waiver
Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
